By accessing or using ConverseLead ("Service"), you agree to these Terms of Service ("Terms").

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the Service

ConverseLead provides AI-powered voice systems for:

• Lead handling
• Call automation
• Scheduling
• Call analytics and summaries

The Service integrates with third-party providers (e.g. telephony, calendars, CRMs).

3. Client Responsibilities

Clients agree to:

• Use the Service in compliance with applicable laws
• Provide legally required disclosures to call recipients
• Obtain consent where required (e.g. call recording)
• Ensure accuracy of data provided
• Not use the Service for unlawful, deceptive, or abusive purposes

4. Prohibited Uses

You may not:

• Violate telecom, privacy, or consumer protection laws
• Impersonate individuals or misrepresent AI as a human where prohibited
• Use the Service for harassment, fraud, or spam
• Reverse engineer or misuse the platform

5. AI Limitations & Disclaimer

ConverseLead uses probabilistic AI systems.

You acknowledge that:

• AI outputs may be inaccurate or incomplete
• Call outcomes are not guaranteed
• The Service does not replace human judgment

Important: ConverseLead makes no guarantees regarding conversion rates, lead quality, or business outcomes.

6. Availability & Modifications

We may:

• Modify or improve the Service
• Add or remove features
• Temporarily suspend access for maintenance or security

We are not liable for downtime caused by third-party providers.

7. Fees & Payment

Fees, if applicable, are governed by separate commercial agreements or pricing pages.

Failure to pay may result in suspension or termination.

8. Intellectual Property

All rights in the Service, including software, models, and branding, remain the property of Axioma AI.

Clients retain ownership of their data.

9. Termination

Either party may terminate access:

• For material breach
• For non-payment
• At contract expiration

Upon termination, data handling follows the Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law:

• ConverseLead is provided "as is"
• We are not liable for indirect, incidental, or consequential damages
• Total liability is limited to fees paid in the preceding 12 months

11. Indemnification

Clients agree to indemnify ConverseLead against claims arising from:

• Unlawful use of the Service
• Failure to provide required disclosures or obtain consent
• Client data or instructions

12. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict-of-law principles.
